Recruitment Terms
These Recruitment Terms ("Terms") govern the recruitment and talent placement services provided by Rocket Media Technologies Private Limited, operating as AI Wonderland ("Recruiter", "we", "us"), to companies seeking to hire AI-fluent professionals ("Hiring Company", "Client", "you").
1. Scope of Services
We provide recruitment services for:
- Full-time placements: Permanent AI-fluent professionals across engineering, marketing, operations, product, design, and leadership roles.
- Fractional placements: Part-time or contract professionals including CTOs, Directors of Engineering, VPs of AI, and other specialized roles.
All candidates presented by AI Wonderland have been vetted for domain expertise and AI fluency through our proprietary screening process.
2. Placement Fee
2.1 Full-Time Placements
- The placement fee is 8.33% of the candidate's annual Cost to Company (CTC), equivalent to one month's salary.
- The fee is calculated on the total annual compensation package offered to the candidate, including base salary, guaranteed bonuses, and any other fixed compensation components.
- Variable compensation (performance bonuses, stock options, commissions) is excluded from the fee calculation.
2.2 Fractional Placements
- For fractional or contract placements, the fee structure will be agreed upon in writing before candidate presentation. Typical structures include a percentage of the total contract value or a flat placement fee.
2.3 Payment Timeline
- The placement fee invoice is issued on the candidate's confirmed start date.
- Payment is due within 15 days of the invoice date.
- Late payments are subject to a charge of 1.5% per month on the outstanding amount.
3. Guarantee Period
- For full-time placements, we offer a 90-day guarantee period from the candidate's start date.
- If the candidate voluntarily resigns or is terminated for cause within the guarantee period, we will provide one replacement candidate at no additional fee.
- The replacement guarantee is subject to: (a) the Hiring Company notifying us within 7 days of the candidate's departure; (b) the original role requirements remaining substantially unchanged; and (c) full payment of the original placement fee having been received.
- The replacement guarantee does not apply if the candidate is terminated due to redundancy, restructuring, or reasons unrelated to performance.
- If no suitable replacement can be found within 60 days, we will issue a 50% credit toward a future placement.
4. Candidate Ownership
Once we present a candidate to you (via resume, profile, or introduction), that candidate is considered "introduced" by AI Wonderland for a period of twelve (12) months from the date of introduction.
- If you hire an introduced candidate within this 12-month period, whether directly, through another agency, or through the candidate's own application, the full placement fee applies.
- This applies regardless of whether the candidate was already known to you, unless you can demonstrate that you were actively interviewing the candidate prior to our introduction.
5. Anti-Poaching
During an active recruitment engagement and for twelve (12) months following its completion, the Hiring Company agrees not to:
- Directly contact or solicit any candidate introduced by AI Wonderland outside of the agreed recruitment process.
- Engage any introduced candidate through alternative channels (personal referral, direct application, competing agency) without notifying AI Wonderland and paying the applicable placement fee.
- Share candidate information provided by AI Wonderland with any third party without our written consent.
6. Exclusivity
Unless a signed exclusive recruitment agreement is in place, our services are provided on a non-exclusive basis. You are free to use other recruitment channels simultaneously. However, the candidate ownership clause (Section 4) applies to all candidates we introduce.
7. Candidate Data Handling
- Candidate information (resumes, profiles, assessment results) shared with you is confidential and provided solely for the purpose of evaluating the candidate for the specified role.
- You must not share candidate information with any third party.
- If a candidate is not selected, you must delete their data within 30 days unless the candidate provides separate consent for retention.
- All candidate data handling must comply with applicable data protection laws, including India's DPDP Act, 2023.
8. Confidentiality
Both parties agree to keep confidential all information exchanged during the recruitment process, including but not limited to hiring requirements, salary ranges, organizational structure, and candidate details. This obligation survives the termination of the recruitment engagement for a period of two (2) years.
9. Limitation of Liability
We conduct thorough vetting of all candidates. However, we do not guarantee the performance, conduct, or continued employment of any placed candidate.
Our total liability for any claim arising from our recruitment services shall not exceed the placement fee paid for the relevant candidate. We shall not be liable for any indirect, consequential, or incidental damages.
10. Termination
- Either party may terminate the recruitment engagement at any time by providing written notice.
- Termination does not affect candidate ownership rights for candidates already introduced.
- Placement fees for candidates who have already accepted offers remain due regardless of termination.
11. Governing Law
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of New Delhi, India.
