Expert Network Agreement

For Expert Network Members

This Expert Network Agreement ("Agreement") governs the relationship between Rocket Media Technologies Private Limited, operating as AI Wonderland ("Company", "we", "us"), and independent professionals who join the AI Wonderland Expert Network ("Expert", "you").

By applying to or participating in the Expert Network, you agree to be bound by this Agreement.

1. Relationship

Experts in the AI Wonderland Network are independent contractors, not employees, agents, or partners of Rocket Media Technologies Private Limited.

  • You are responsible for your own taxes, insurance, and compliance with applicable laws.
  • Nothing in this Agreement creates an employment relationship, partnership, joint venture, or agency relationship.
  • You are free to work for other clients and organizations, subject to the non-solicitation and confidentiality provisions in this Agreement.

2. Admission to the Network

Admission to the Expert Network is at the sole discretion of AI Wonderland. Our vetting process includes:

  • Show and Tell submission: A video walkthrough or project demonstration showing your work and AI integration process.
  • Fluency review: Assessment of your AI fluency, domain expertise, and professional communication.
  • Background verification: Basic professional background check.

Admission is not guaranteed. We reserve the right to decline applications without providing reasons.

3. Engagement Process

When a client project matches your expertise:

  1. We will contact you with the project scope, timeline, and compensation details.
  2. You may accept or decline any engagement opportunity without penalty.
  3. If you accept, a specific Project Brief will be issued detailing the scope, deliverables, timeline, and payment terms for that engagement.
  4. Work begins only after both parties agree to the Project Brief in writing.

We handle all client acquisition, project scoping, and account management. Your role is to deliver the technical work defined in the Project Brief.

4. Compensation

  • Compensation for each engagement is defined in the individual Project Brief.
  • Payment is made within fifteen (15) business days after the client confirms satisfactory completion of the deliverables (or the relevant milestone).
  • For milestone-based projects, payments are released at the completion of each defined milestone.
  • All compensation amounts are exclusive of applicable taxes. You are responsible for declaring and paying your own income tax and GST (if applicable).
  • Payment is made via bank transfer (NEFT/RTGS/IMPS) or UPI to the bank account you provide.

5. Delivery Standards

As a member of the Expert Network, you agree to:

  • Deliver work that meets the quality standards and specifications defined in the Project Brief.
  • Communicate proactively about progress, blockers, and timeline risks.
  • Respond to project-related communications within one (1) business day.
  • Not subcontract or delegate assigned work to third parties without our written approval.
  • Maintain professional conduct in all interactions with clients and AI Wonderland team members.

5.1 Failure to Deliver

If you fail to deliver agreed-upon work within the timeline specified in the Project Brief (and no extension has been agreed):

  • We will provide a written notice and a reasonable extension (typically 5 business days).
  • If the work remains undelivered after the extension, we may reassign the project to another expert.
  • Payment will only be made for work that has been completed and accepted.
  • Repeated failure to deliver may result in removal from the network.

6. Intellectual Property

  • Client work: All work product created during a client engagement is owned by the client or AI Wonderland as defined in the Project Brief. You assign all rights, title, and interest in the work product to the designated owner.
  • Pre-existing IP: You retain ownership of any tools, libraries, or methodologies you developed before the engagement. If these are used in a client project, you grant a non-exclusive, perpetual license for their use within that project.
  • Show and Tell content: You retain ownership of your Show and Tell submissions but grant AI Wonderland a non-exclusive license to use them for expert profile presentation and marketing purposes.

7. Confidentiality

During and after your participation in the Expert Network, you agree to:

  • Keep all client information, project details, and business data strictly confidential.
  • Not disclose client names, project scopes, or deliverables without written permission.
  • Not use confidential information for any purpose other than performing the assigned work.
  • Return or destroy all confidential materials upon completion of each engagement.

Confidentiality obligations survive the termination of this Agreement for a period of three (3) years.

8. Non-Solicitation

During your participation in the network and for twelve (12) months after your last engagement:

  • You shall not directly solicit, contact, or engage with any AI Wonderland client for work outside of the AI Wonderland engagement process.
  • If a client approaches you directly for additional work, you must inform AI Wonderland before accepting.
  • You shall not recruit or solicit other AI Wonderland experts or team members for outside projects.

Violation of this clause entitles AI Wonderland to a fee equal to the greater of (a) ₹5,00,000 or (b) the total value of the engagement secured outside the network.

9. Network Removal

We may remove you from the Expert Network for:

  • Repeated failure to deliver on accepted engagements.
  • Violation of confidentiality or non-solicitation obligations.
  • Unprofessional conduct toward clients or team members.
  • Misrepresentation of skills, experience, or qualifications.
  • Any conduct that damages the reputation of AI Wonderland.

You may voluntarily leave the network at any time by providing written notice. Outstanding engagements must be completed or formally transitioned before departure.

10. Liability

You agree to indemnify AI Wonderland against any claims, damages, or losses arising from your negligence, misconduct, or breach of this Agreement during an engagement.

AI Wonderland's total liability to you for any claim arising from your participation in the network shall not exceed the compensation paid to you in the twelve (12) months preceding the claim.

11. Data and Privacy

We collect and process your personal data (profile, skills, portfolio, payment information) for the purpose of operating the Expert Network. For full details, see our Privacy Policy.

12. Dispute Resolution

Disputes shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in New Delhi, India.

13. Governing Law

This Agreement is governed by the laws of India. The courts of New Delhi shall have exclusive jurisdiction.
